These Terms of Service ("Terms") govern your use of daohuy.com (the "Site") and the translation and localization services provided by Dao Huy ("Lucas"), an independent professional translator based in Vietnam ("we", "us", "I", the "Translator"). By using the Site, requesting a quote, or engaging our services, you ("you", the "Client") agree to these Terms.
1. Services
We provide professional human translation, localization, proofreading and related language services, primarily from English, Chinese and French into Vietnamese, and other agreed language pairs. The exact scope, languages, format and deliverables of each engagement are defined in the individual quote or order confirmation for that project.
2. Quotes and Orders
Quotes are based on the information and materials you provide and are valid for the period stated in the quote (30 days unless otherwise specified). A project is confirmed when you accept the quote in writing (including by email) or make any required payment. If the source material, scope, word count or deadline changes, the quote may be revised accordingly.
3. Client Responsibilities
- Provide complete, final and legible source materials, plus any reference material, glossaries or style guides relevant to the project.
- Ensure you have the right to share the materials and to have them translated.
- Respond to queries in good time so deadlines can be met.
- Designate any names, terminology or formatting requirements before work begins.
4. Fees and Payment
Fees are stated in each quote and may be charged per word, per page, per hour or as a fixed project price. Unless agreed otherwise, invoices are due within the period stated on the invoice. A deposit may be required for new clients or large projects. Late payments may incur reasonable interest or fees as set out in the quote. Bank or transfer charges are borne by the Client.
5. Turnaround and Delivery
Estimated delivery dates are given in good faith and depend on timely receipt of materials, answers to queries and payment of any deposit. Deliverables are sent electronically in the agreed format unless otherwise arranged.
6. Revisions and Acceptance
We aim for accurate, faithful translations. If you believe a delivered translation contains an error, you may request corrections within a reasonable period (for example 7 days) of delivery, identifying the specific issues. Corrections of genuine errors are made at no extra charge. Changes that go beyond the agreed scope, including new content, preferential restyling or revised source text, may be quoted as additional work.
7. Cancellation
If you cancel a confirmed project, you agree to pay for all work completed up to the cancellation, plus any non-recoverable costs already incurred.
8. Confidentiality
We keep all Client materials and project information strictly confidential and use them only to perform the services. A non-disclosure agreement (NDA) is available on request and, once signed, prevails on confidentiality matters.
9. Intellectual Property
You retain all rights in the source materials you provide. Ownership of the completed translation transfers to you upon full payment. Until then, all rights in the translation remain with the Translator. We may retain a copy and reuse non-confidential linguistic assets such as translation memory and terminology to improve consistency. Portfolio or sample use of your project is made only with your prior consent and in anonymized form where appropriate.
10. Quality and Warranties
We warrant that services are performed with professional skill and care to industry standards. Except as expressly stated, the Site and services are provided "as is" without further warranties of any kind, to the extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, the Translator's total liability arising from any project is limited to the fee paid for that project. We are not liable for indirect, incidental, special or consequential damages, or for loss of profit, data or goodwill, however caused.
12. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including illness, power or internet outages, natural events, or acts of government.
13. Independent Contractor
The Translator is an independent contractor. Nothing in these Terms creates an employment, partnership or agency relationship.
14. Acceptable Use of the Site
You agree not to misuse the Site, including by attempting unauthorized access, transmitting malicious code, scraping at scale, or using it for unlawful purposes. We may suspend access to anyone who breaches these Terms.
15. Third-Party Links
The Site may link to third-party websites and platforms. We are not responsible for their content, services or policies.
16. Indemnification
You agree to indemnify the Translator against claims arising from materials you provide, including claims that those materials infringe third-party rights or that you lacked the right to have them translated.
17. Term and Termination
These Terms apply while you use the Site or engage our services. We may update or discontinue any part of the Site at any time. Provisions on payment, confidentiality, intellectual property and liability survive termination.
18. Governing Law and Disputes
These Terms are governed by the laws of Vietnam. The parties will try to resolve any dispute amicably; failing that, disputes are subject to the competent courts of Vietnam, unless a separate signed agreement provides otherwise.
19. General
If any provision is found invalid, the remaining provisions stay in effect. These Terms, together with the applicable quote and any signed agreement, form the entire agreement between you and the Translator. We may amend these Terms; the "Last updated" date reflects the current version.
